These Terms and Conditions ("Terms") govern your use of the services provided by Nexaris AI, LLC ("Nexaris AI," "we," "us," or "our"), including our website at nexarisai.com, AI employee services, and related tools. By using our services, you agree to these Terms.

1. Services

Nexaris AI provides AI-powered business automation services, including but not limited to AI front desk employees, bookkeeping automation, data entry, scheduling, and reporting. Services are provided on a subscription or project basis as outlined in your service agreement.

2. Payments and Billing

• Payment is due as specified in your invoice or service agreement.
• We accept payment via credit card, debit card, ACH bank transfer, and other methods made available through our payment platform.
• All payments are processed securely through Stripe. Nexaris AI does not store your payment card details.
• A processing fee may apply to credit and debit card payments, which will be clearly disclosed before payment.
• ACH bank transfers do not incur a processing fee.
• Late payments may result in suspension of services after 15 days past due.

3. SMS Communications

• By providing your phone number, you consent to receive transactional SMS messages related to invoices, payment confirmations, and service notifications.
• Message and data rates may apply depending on your carrier.
• Message frequency varies based on your account activity.
• You may opt out of SMS at any time by replying STOP. Reply HELP for assistance.
• Opting out of SMS will not affect your service; invoices will be sent via email instead.
• We will not share your phone number with third parties for marketing purposes.

4. Service Availability

We strive to maintain 99.9% uptime for our AI employee services. However, we do not guarantee uninterrupted service and are not liable for downtime caused by maintenance, third-party service outages, or circumstances beyond our control.

5. Data and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you acknowledge and agree to the collection and use of information as described therein.

6. Intellectual Property

All content, software, AI models, and materials provided by Nexaris AI remain our intellectual property. You are granted a limited, non-exclusive license to use our services for your business purposes during the term of your agreement.

7. Client Responsibilities

• You are responsible for providing accurate information for AI employee configuration.
• You agree not to use our services for unlawful purposes or in violation of any applicable laws.
• You are responsible for maintaining the confidentiality of your account credentials.

8. Limitation of Liability

To the maximum extent permitted by law, Nexaris AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost profits, data loss, or business interruption.

9. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, all outstanding invoices become immediately due. We will provide reasonable assistance in transitioning your data and operations.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Cook County, Illinois.

11. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
